Terms of Service
These Terms of Service ("Terms") govern access to and use of ProcureLog (the "Service"), provided by Blanca Gonzalez, trading as TenderLog, ABN 68 325 424 364, New South Wales, Australia ("we", "us", "our"). By creating an account or using the Service, you ("you", "your", or your "Company") agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ProcureLog is a web-based purchasing tool for steel fabricators. It lets your team record jobs and phases, suppliers and their contacts, requests for quotation, quotes, purchase orders, call-ups, deliveries and delivery issues, mill certificates, stock and offcuts, and view reports on your purchasing. We may add, change, or remove features from time to time.
2. Accounts
- You must provide accurate information when creating an account, and keep your login details confidential. You're responsible for all activity under your account, and you must tell us promptly if you suspect someone else has accessed it.
- The person who creates a Company's account becomes its first Admin. Admins can invite teammates (by email or with the Company's invite code), choose whether they are Admins or Members, remove them, and manage the Company's subscription.
- You must be authorised to act on behalf of your Company to create an account for it.
- ProcureLog and TenderLog are separate apps with separate accounts, even when one subscription covers both.
3. Subscription & Payment
- ProcureLog is a paid subscription service, billed weekly per Company (not per user) at the price shown at signup: currently $49.99 AUD/week for ProcureLog, or $79.99 AUD/week for the TenderLog + ProcureLog bundle, with unlimited users. We are not currently registered for GST, so no GST is added to these prices.
- Payments are processed by our payment provider. We never see or store your card details.
- The bundle is one subscription that covers both apps. It's matched to the other app by the email address of the person who pays for it. Cancelling the bundle ends access to both apps; switching from the bundle back to a single app ends access to the other one.
- When you switch plans part-way through a billing period, the difference for the rest of that period is charged or credited automatically.
- If a subscription is cancelled or stops being active, your account becomes read-only: you can still view your data, but editing is locked until an Admin subscribes again.
- There is no lock-in contract. You can cancel at any time from Settings › Billing; your access continues until the end of the billing period you've already paid for, and you won't be charged again after that. We don't refund part-used billing periods, except where the law requires it.
- We may change pricing with reasonable notice (at least 30 days) before it applies to your next billing cycle.
4. Your Data
You (your Company) own the data you put into ProcureLog — your jobs, supplier and contact details, quotes, purchase orders, delivery records, mill certificates and other documents, stock records, notes, and everything else you enter or upload. We don't sell it, and we don't use it for anything other than providing and improving the Service to you, as described in our Privacy Policy.
You're responsible for the accuracy of the data you enter, and for making sure you have the right to store any third-party information (such as supplier contacts and supplier documents) in the Service.
5. Acceptable Use
You agree not to:
- Use the Service for anything unlawful, or in a way that could damage, disable, or overburden it.
- Try to access another Company's data, or attempt to circumvent the access controls that keep Companies' data separate.
- Reverse-engineer, copy, resell, or white-label the Service, or build a competing product from it, without our written agreement.
6. Intellectual Property
We (and our licensors) own all intellectual property rights in the Service, including its software, design, documentation and the ProcureLog name and logo. These Terms give you only a limited, non-exclusive, non-transferable right to use the Service for your Company's internal business purposes while your subscription is active. You keep ownership of your own data and documents.
7. Availability & Security
We take reasonable, industry-standard measures to keep the Service secure, including:
- Data separation. Access controls in our database keep each Company's data and files separated from every other Company's, and each user signs in with their own account.
- Passwords. Passwords are never stored in readable form, and password resets use a short-lived, single-use code.
- Encryption. Data is encrypted in transit (HTTPS) and encrypted at rest by our hosting providers.
- Daily copies. Your Company's data (jobs, suppliers, purchase orders, stock and the rest of your records) is saved as you work, and a copy of each day is kept automatically. Uploaded files, such as mill certificates and quotes, are stored separately and are not part of these daily copies.
Daily copies exist so that we can recover the Service after a serious problem; they are not a self-service undo, and we can't promise to restore individual records or deleted files on request. You can download a full backup of your Company's data and files at any time from Settings › Data & backup, and we recommend doing so regularly if you need your own copy.
No online service can be guaranteed 100% secure or uninterrupted, and we don't promise it will be. Planned maintenance, problems with our infrastructure providers, or events outside our control may occasionally make the Service unavailable.
If we become aware of a data breach affecting your Company's data, we will notify you without undue delay.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available". ProcureLog is a record-keeping and workflow tool: you remain solely responsible for your orders, call-ups, delivery dates, stock and purchasing decisions, and for checking that the information in the Service is correct — including items read automatically from purchase order PDFs, steel section names recognised or suggested by the Service, reminders and dates, and whether the mill certificates you hold are complete and comply with the standards and specifications that apply to your work. To the fullest extent permitted by law, we make no warranties, express or implied, about the Service — including that it will be error-free, uninterrupted, or fit for a particular purpose — except for any guarantees that cannot be excluded under the Australian Consumer Law.
9. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential loss (including lost profits, delays, rework, or lost business opportunities) arising from your use of the Service.
- We are not liable for any loss or damage arising from unauthorised access to, or the use, disclosure, alteration, or destruction of, your data caused by a third party — including hacking, malware, phishing, denial-of-service attacks, or any other cyberattack — except to the extent the loss was directly caused by our gross negligence or wilful misconduct. You are responsible for keeping your login details confidential and for the security of the devices you use to access the Service.
- Our total liability to you for any claim arising from these Terms or the Service, however it arises, is limited to the amount you paid us in the 12 months before the claim.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where we can limit our liability for breach of such a guarantee, we limit it to resupplying the Service or paying the cost of having it resupplied.
10. Termination
You can stop using the Service and cancel your subscription at any time. We may suspend or terminate an account that breaches these Terms, that has an unpaid balance, or that we reasonably believe poses a security risk to other Companies using the Service.
On termination, your account stays read-only for 90 days so you can view your data and download a backup, and then we delete it.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll let Admins know by email or an in-app notice before the change takes effect. Continuing to use the Service after that means you accept the updated Terms.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
